Bachelor’s Degree in Law from the University of Navarra and Master’s Degree in Legal Advice at the Instituto de Empresas (MAJ). Graduated from the Royal and Illustrious Bar Association of Zaragoza in 1999. Lawyer registered with the Bar Association of Málaga.

César has mainly developed his professional career in the office of Ernst&Young in Zaragoza, and the office of KPMG ABOGADOS S.L. in Madrid and Málaga, where he held the position of Director of the Legal Area in Andalusia.

Since 1998 he has developed his professional career advising national and international clients in all phases of company acquisitions (letters of intent, due diligence, sales contracts, shareholder agreements... etc.), and in corporate law.

In addition, he has extensive experience in advising family companies on the preparation of family protocols, business restructuring (mergers, splits, branch contributions, securities exchanges, etc.), as well as in resolving conflicts between partners/shareholders.

César specializes in all kinds of judicial proceedings within commercial jurisdiction, such as challenges to shareholder agreements, judicial dissolution of companies, liability actions of administrators, cessation of administrators for infringement of the prohibition of competition, etc.

He has published numerous articles and teaches in several institutions providing training in corporate law, recruitment and family protocol.

Ana Malvárez Mañas

Bachelor’s Degree in Law and Master's Degree in Legal Advice from the University of Málaga. Ana is a member of the Málaga Bar Association and collaborator in the Commercial Law Department of the University of Málaga.

She began her professional career in 2007, providing legal advice and assistance to companies in a situation of economic crisis.

In this area, she has directed and designed, with her clients, diverse creative solutions to present or future insolvency, either by negotiating agreements with creditors, outside of the insolvency field, in the context of communications on Article 5 of the Bankruptcy Act (pre-bankruptcy phase), or by filing the bankruptcy of the company, assuming the role of legal counsel in all sections of the bankruptcy proceedings and in potential bankruptcy incidents.

In this sense, she advises clients with the aim of conveying to them a deep, practical knowledge of the advantages and disadvantages that each of the above-mentioned processes entails.

She also advises companies in any matter related to corporate law, restructuring, mergers, splits, Secretariats of the Board of Directors, etc.

Jesus Rubiño Gómez

Bachelor’s Degree in Business Administration and Bachelor’s Degree in Law from the University of Granada. Member of the Illustrious Bar Association of Málaga.

Jesús works in the legal area of lcázar as an Associate to the Commercial Department, collaborating with all types of commercial and civil claims, corporate restructuring, shareholder/partner conflicts, secretariat of companies, as well as drafting civil and commercial contracts. He has participated in various corporate acquisition processes (negotiation and drafting of contracts) and usually forms part of the different due diligence teams. He has also taken part in various business succession processes, within the framework of Andalusian family businesses, using his skills and knowledge to protect the family business tradition (Family Protocol).

Likewise, he is fluent in English, in which he has passed the ICAMALAGA Advanced Legal English Course, and Italian, for which he holds the UE-C1 certificate granted by Università La Sapienza di Roma.

Álvaro Gajate Bonilla



Bachelor’s Degree in Law and Administration and Business Management from the University of Jaén, Master's Degree in Business Law at the Garrigues Studies Centre. Member of the Illustrious Bar Association of Madrid.

Álvaro developed his professional career between Auren (Madrid) and Deloitte (Zaragoza), focusing on commercial/general business advice to companies.

He’s an expert in commercial legal advice to all types of companies, with extensive experience in the preparation and review of all types of commercial contracts, design and constitution of business projects, overseeing the secretariat of capital companies, restructuring operations and legal reviews.
