Born in Trenton, New Jersey, Peter Nahmias is an American attorney-at-law, admitted to the New York and New Jersey  Bars, as well as a Spanish abogado, admitted to the Madrid Bar (Colegio de Abogados). He holds a Juris Doctorate degree from Fordham University School of Law and an LLM ( Master de Asesoria Juridica de Empresa) from the Instituto de Empresa, Madrid. Mr Nahmias has published extensively, participated in numerous seminars regarding international commercial and investment law and is a professor at the EAE Business School ( “Escuela de Administracion de Empresas”) where he teaches International Economics Law. He is fluent in English and Spanish and is now in private practice in Madrid, Spain.

Peter Nahmias has over 25 years of experience as an international lawyer. His professional trajectory includes employment in major law firms in the US (Thiefry et Associes from 1989 to 1991 and Lowenstein Sandler from 1991 to 1996).In 1997, after completing his LLM at the Instituto de Empresa, Madrid, he embarked on an in-house career, first with Decathlon Espana ( 1998-2000): Pernod Ricard Espana ( 2000- 2004) and then British American Tobacco ( 2004- 2014)  where he worked in Madrid, London and Dubai occupying positions of Legal Director Iberia, Global Regulatory Counsel, Legal Director Middle East and finally Head of Global Regulatory Counseling.

Peter Nahmias’ practice includes all those areas where he has worked in the past, in particular international trade and regulation.


Jesús Rubiño Gómez

Bachelor’s Degree in Business Administration and Bachelor’s Degree in Law from the University of Granada. Member of the Illustrious Bar Association of Málaga.

Jesús works in the legal area of lcázar as an Associate to the International Practice Department, collaborating with corporate law, M&A, shareholder/partner conflicts, as well as drafting civil and commercial contracts for both national and international clients. He has participated in various corporate acquisition processes (negotiation and drafting of contracts) and usually forms part of the different due diligence teams. He has also taken part in various business succession processes, within the framework of family businesses, using his skills and knowledge to protect the family business tradition (Family Business Protocol).

Likewise, he is fluent in English, in which he has passed the ICAMALAGA Advanced Legal English Course, and Italian, for which he holds the UE-C1 certificate granted by Università La Sapienza di Roma.

Juan José Merlo López de Rego

For more than 7 years, he developed his professional career in the Madrid offices of Grant Thornton, mainly focusing on the financial audit of companies and groups, in various sectors such as industry, services, agriculture, building and the public sector. He has also developed and evaluated projects of internal control compliance and subsidies auditing.

Ignacio Joya Amezcua

Bachelor’s Degree in Law from the University of Granada. Ignacio sat the entrance examinations into public service for the role of Property and Mercantile Registrar. Registered with the Bar Association of Granada.

He has developed his professional career in Madrid, in the firm Legal and Investment Advisors, today AC&G Legal Advisors; in Granada, in the firm Hernández-Carrillo Abogados and in Cremades&Calvo-Sotelo Abogados, where he was a Managing Partner.

He has extensive experience in business legal advice, especially in the corporate and real estate registry branch, as well as all forms of civil consultancy (law of succession and family law, leases, horizontal property, royalties, obligations and contracts).

Ignacio specializes in banking law, advising and intervening in foreclosures, preference shares and subordinated obligations, multi-currency mortgages, abusive clauses, convertible bonds, general contracting conditions, warrants, “clausulas suelo” or floor clauses, etc., as well as in all kinds of legal proceedings as per the commercial and civil jurisdiction.

He has been a member of the permanent forum for analysis of Jurisprudence of the judicial bodies of Granada since 2007, ruled by the Foundation of Studies and Legal Practices of the Bar Association of Granada. He has been Secretary of the Board of Directors of the Young Lawyers Group of the Bar Association of Granada, as well as Treasurer of the Andalusian Federation of Young Lawyers.

Bachelor’s Degree in Law from the University of Granada and Expert in Corporate Law from the UNIA-Bar Association of Málaga. Juan registered with the Honorary Bar Association of Melilla in 2008, where he remains today as a practicing lawyer. 

He’s an expert in Public and Community Law, especially in the field of public procurement and sanctioning procedures.

He spent most of his professional career at KPMG ABOGADOS S.L.

He has worked as a lawyer in all types of itigation, providing advice to the most important companies in Andalusia in the areas of litigation, arbitration and insolvency, and as legal director in all types of legal proceedings in any jurisdiction and stage of proceedings.

In particular, Juan has participated in complex legal proceedings related to agency contract law, exclusive distribution, unfair competition, patents and trademarks, and in all kinds of procedures related to the field of promotion and construction. Likewise, he has collaborated in procedures of contractual and extracontractual liability, and in matters of inheritance.

He has extensive experience in negotiating agreements and in conflict mediation.

He actively collaborates in seminars and conferences related to his specialty fields.

Carlos Ruiz Merino

Carlos’ previous professional career was developed in large professional offices such as KPMG, Cremades&Calvo-Sotelo Abogados and Garrigues Abogados, where he focused his work on general tax advice to companies.

As a tax adviser, he has been providing tax advice to a large number of family-owned companies nationwide, as well as providing VAT advice to national and international companies.

His involvement in the tax procedures of corporate restructuring operations (mergers, acquisitions, spin-offs, branch contributions, stock exchanges, etc.) has greatly enriched and informed his professional career.

Carlos also teaches as Associate Professor in the Department of Public Finance of the Faculty of Economics at the University of Malaga.

Francisco Fernández

For the main part of his career, Francisco worked in Garrigues (Malaga) and Deloitte (Malaga), focusing on general tax advice to companies.

As a tax adviser, he has been providing tax advice to a large number of national and international companies, focusing his advice on corporate operations (restructuring, mergers, etc.), as well as restructurings of family businesses and tax planning for Inheritance Duty.

In addition, he specializes in periodic advice on the issues that customers raise regarding their tax obligations, both nationally and internationally, and in the taxation of groups of entities (special consolidation regime and groups of VAT entities).

César has mainly developed his professional career in the office of Ernst&Young in Zaragoza, and the office of KPMG ABOGADOS S.L. in Madrid and Málaga, where he held the position of Director of the Legal Area in Andalusia.

Since 1998 he has developed his professional career advising national and international clients in all phases of company acquisitions (letters of intent, due diligence, sales contracts, shareholder agreements... etc.), and in corporate law.

In addition, he has extensive experience in advising family companies on the preparation of family protocols, business restructuring (mergers, splits, branch contributions, securities exchanges, etc.), as well as in resolving conflicts between partners/shareholders.

César specializes in all kinds of judicial proceedings within commercial jurisdiction, such as challenges to shareholder agreements, judicial dissolution of companies, liability actions of administrators, cessation of administrators for infringement of the prohibition of competition, etc.

He has published numerous articles and teaches in several institutions providing training in corporate law, recruitment and family protocol.


Ana Malvárez Mañas

She began her professional career in 2007, providing legal advice and assistance to companies in a situation of economic crisis.

In this area, she has directed and designed, with her clients, diverse creative solutions to present or future insolvency, either by negotiating agreements with creditors, outside of the insolvency field, in the context of communications on Article 5 of the Bankruptcy Act (pre-bankruptcy phase), or by filing the bankruptcy of the company, assuming the role of legal counsel in all sections of the bankruptcy proceedings and in potential bankruptcy incidents.

In this sense, she advises clients with the aim of conveying to them a deep, practical knowledge of the advantages and disadvantages that each of the above-mentioned processes entails.

She also advises companies in any matter related to corporate law, restructuring, mergers, splits, Secretariats of the Board of Directors, etc.
